ARTICLE I – MEMBERS
Section I. Eligibility
The
following shall be eligible for membership in this Association: A
business, firm, entity or corporation qualified as a “self-insurer”
under the Workers’ Compensation Act of Ohio and any person (including
individuals employed by corporations, firms, entities or business) who
(1) regularly represent self-insurers under the Workers’ Compensation
Act of Ohio (2) exclusively represent employers under the Workers’
Compensation Act of Ohio (3) are providers of medical, rehabilitation
and/or educational services directly or indirectly to self-insured
employees.
Section II. Membership
A. Corporate
or Business Membership – Any eligible business, firm, entity or
corporation qualified as a “Self-Insurer” under the Workers’
Compensation Act of Ohio may be admitted to membership upon submission
of an application for membership, together with a required membership
fee and upon the affirmative vote of the Executive Board. Each
corporation shall be entitled to separate corporate memberships for each
separate operating entity of such corporation. Each
corporate of business membership shall entitle such corporation or
business to designate one individual to act as the representative of
such corporation or business. Such representative shall be designated in
writing. Each Corporate or Business member shall be entitled to one
vote.
B. Associate
Membership – An Associate Member must be an employee or associate of a
Corporate or Business member or any person (including individuals
employed by corporations, firms, entities or businesses) who (1)
regularly represent self-insurers under the Workers’ Compensation Act of
Ohio (2) exclusively represent employers under the Workers’
Compensation Act of Ohio (3) are providers of medical, rehabilitation
and/or educational services directly or indirectly to self-insured
employers. Any eligible person
may be admitted to membership upon submission of an application for
membership together with the required membership fee, and upon the
affirmative vote of the Executive Board. An Associate Member shall not have the right to vote at any meeting.
Section III. Termination
A. Membership
may be terminated in the event that a member shall (a) cease to have
eligibility as defined in Article I, Section I hereof, (b) fail to pay
his dues within the time herein provided, or (c) be guilty of conduct
detrimental to the best interest of the Association. After
giving the member notice and an opportunity to be heard, the Board of
Trustees, by the two-thirds vote of its members, may terminate or
suspend said membership.
B. Any member in good
standing may voluntarily terminate his membership at any time on written
notice to the Secretary.
C. The
Treasurer shall, upon request, refund to any member, whose membership
is terminated, the amount of his dues representing the unexpired portion
of the year for which they were paid.
ARTICLE II - BOARD OF TRUSTEES
Section I - Power and Duties
The
powers, property and affairs of this Association shall be exercised,
conducted and controlled, entirely and exclusively, by a Board of
Trustees, except as otherwise required by law or provided in these
regulations.
Section II - Number
The
Board of Trustees shall be composed of not more than fifteen (15) nor
less than five (5) members. Within these limits the Board of Trustees
may, by majority vote, increase or decrease its number as it shall
determine.
Section III - Election, Term of Office and Vacancies
A. The
members of the Board of Trustees shall be elected by vote of a majority
vote of the Corporate/Business members present at the annual meeting
and shall serve a two (2) year term of office.
B. A Trustee may resign at any time on written notice filed with any officer of the association other than himself. A
vacancy on the Board of Trustees for any cause shall be filled for the
unexpired portion of the term by vote of a majority of the Board of
Trustees. Nothing herein contained shall prevent a Trustee from being elected to succeed himself.
C. Dismissal. Any
member of the Board of Trustees who does not fulfill established
trustee responsibilities will be subject to dismissal by a two-thirds
majority vote of the Board of Trustees.
ARTICLE III - OFFICERS
Section I - Number
The
officers of this Association shall be the President, the Vice
President, the Secretary, and the Treasurer, all of whom shall be
members of the Board of Trustees.
Section II - Election
Term of Office and Vacancies - The officers shall be chosen by vote of the majority
of the Board of Trustees at its annual meeting and shall at all times
be subject to the orders, rules and regulations of the Board of
Trustees. Each officer shall serve two years or until his successor has
been elected. An officer may resign at any time by written notice
filed with any officer of the Association other than himself. A vacancy
in any office for any cause shall be filled for the unexpired portion
of the term by vote of a majority of the Board of Trustees. Nothing
herein contained shall prevent an officer from being re-elected to any
office. The same person shall not hold more than one office.
Section III - President
The President shall have general supervision and direction of the
Association and shall preside at meetings of the Association and of the
Board of Trustees and shall perform such other duties as the Board of
Trustees may require.
Section IV - Vice President
The Vice President shall perform such duties as the Board of Trustees
or the President may require and, in the absence of incapacity of the
President, shall perform the duties of that office until a President is
elected.
Section V - Secretary
The Secretary shall keep the Association records, including minutes of
the meetings of the Association, of the Board of Trustees and of the
Executive Committee. The Secretary shall perform all of the usual
duties of the office and such other duties as the Board of Trustees or
the President may require.
Section VI - Treasurer
The Treasurer shall submit to the Board of Trustees at each annual
meeting a statement reviewing the financial operations of the
Association for the previous year and shall at all reasonable times
exhibit the books of account and records to the Board of Trustees. The
Treasurer shall perform all of the usual duties of the office and such
other duties as the Board of Trustees or the President may require.
By-Laws
1. The
President, Vice President, Secretary and Treasurer will constitute an
executive committee of which the President shall be the presiding
officer.
2. The
President shall appoint such other committees and assign to them such
duties and powers as it deems desirable to further the purposes of the
Association.
3. The annual meeting
of the association shall be held in conjunction with the May monthly
meeting. Ten or more members shall constitute a quorum at any meeting of
the association.
4. The
Executive Committee and Trustees will meet periodically as required to
plan meetings and conduct the business of the Association. A majority of
members of this group shall constitute a quorum at any meeting.
5. The annual membership fee for any Self-Insured Employer, Service Provider, Educational Member or Non Self-Insured Employer and their designated representatives shall be determined by a majority vote of the Executive Committee and Trustees. Dues are payable annually.
6. No
member, officer, or Trustee, shall contract or incur any debt or
liability on behalf of the Association in excess of $100.00 (one hundred
dollars) without the approval of the Board of Trustees.
7. Any
of the following four officers of the Association shall be authorized
to execute any checks on behalf of the Association: President, Vice
President, Treasurer, or Secretary.
8. Any officer in
violation of the orders, rules and regulations of the Board of Trustees
may be removed from office by a two-thirds vote of the Board of
Trustees.
